Definitions | |
Applicant | The person introduced by the Agency to the Client for an Engagement including any officer or employee of the Applicant if the Applicant is a Limited company. |
Client | Means the person; firm or corporate body together with any subsidiary or associated Company as defined by the Companies Act 1985 to which the Applicant is introduced |
Agency | Citylife Recruitment Ltd Registered company number: 11144257 |
Engagement | means the engagement, employment or use of the Applicant by the Client or any third party on a permanent or temporary basis, whether under a contract of service or for services; under an agency, licence, franchise or partnership agreement; the acceptance of an offer of employment; or any other engagement of which the Applicant is an officer or employee |
Remuneration, Salary | includes base salary or fee, guaranteed and anticipated bonus, allowances payable to or receivable by the Applicant for services rendered to or on behalf of the Client. |
Introduction | Means the Client’s Engagement of an Applicant following the instruction from the Applicant to the Agency enabling the Agency to seek employment, or any other activity, on behalf of the Applicant; (ii) or the passing to the Client of a curriculum vitae or information which identifies the Applicant; and which leads to an Engagement of that Applicant; |
Contract
These terms contain the entire agreement between the Agency and Client and unless otherwise agreed in writing by a director of the Agency. No variation or alteration to these terms shall be valid unless the details of such variation are agreed between the Agency and the Client and are set out in writing and a copy of the varied terms is given to the Client stating the date on or after which such varied terms shall apply.
· An Engagement at any time during the 12 months following the introduction of this or any candidate by the Agency will result in a fee becoming payable in accordance with the attached Scale of Fees.
· Fees are payable regardless of whether the Client knew of the Applicant previously.
· The Client shall notify the Agency of any offer of an employment offer which it makes to the Applicant.
· The Client shall notify the Agency that its offer of an employment to the Applicant has been accepted and to provide details of the remuneration.
· The fee payable to the Agency by the Client for an Introduction resulting in an Engagement is calculated in accordance with the Schedule ‘Scale of Fees’.
· The Client must pay the Agency’s fee within 7 days of the date of candidate offer acceptance.
· Nothing in this agreement is intended to, or shall be deemed to, establish any partnership or joint venture between any of the parties, constitute any party the agent of another party, or authorise any party to make or enter into any commitments for or on behalf of any other party.
· No party shall use any other party’s confidential information for any purpose other than to perform its obligations under this agreement.
· Each party warrants that it has full capacity and authority to enter into and perform this agreement.
· If an unconditional job offer is made by the Client and accepted by the Applicant only to be withdrawn by the Client prior to the Candidate’s commencement of the Engagement, an administration fee is owed to the Agency by the Client of two thousand pounds sterling exclusive of VAT.
· The following shall be exceptions to administration fee:
– Unsatisfactory References/ DBS / Criminal Record Background Check
– The Client has become bankrupt or has been dissolved
